Sanctions and Penalties 制裁及罰則

Misconduct by an MPF intermediary may lead to internal sanctions under the contract with the principal and statutory penalties. Candidates should distinguish the rules, exceptions and maximum penalties for unauthorised public advertisements and fraudulent or reckless misrepresentations.

Contractual Sanctions by Principals 主事人按合約施加的處分

To determine which internal sanctions a principal may impose, start with the agency agreement or other contract between the parties. The sanctions and their conditions depend on the agreed terms; contractual consequences are not uniform across all intermediaries.

Examples of internal disciplinary action include forfeiture of commission and reprimands. Conduct that also breaches legislation may attract statutory penalties: a sanction imposed by the principal does not remove criminal liability.

Section 103: Public Advertisements 第103條:向公眾發出廣告

Section 103 of the Securities and Futures Ordinance (Cap. 571) is relevant when issuing advertisements to the public promoting MPF schemes or approved pooled investment funds. The issue must be authorised by the SFC or covered by an exemption under the Ordinance; otherwise, an offence may arise. Internal approval from the principal does not itself replace SFC authorisation or a statutory exemption. The maximum penalty for breaching section 103 is a fine of HK$500,000 and three years’ imprisonment. A continuing offence may attract an additional fine for each day it continues. These are statutory maximum penalties, rather than fixed sentences imposed in every case. Section 107: Misrepresentations Inducing Investment 第107條:失實陳述誘使投資

Section 107 of the Securities and Futures Ordinance concerns inducing another person to participate in an MPF scheme or invest in pooled investment funds through fraudulent or reckless misrepresentations. It can apply to individual sales conversations as well as public advertising. Candidates must remember that recklessness is also covered.

The maximum penalty for breaching section 107 is a fine of HK$1,000,000 and seven years’ imprisonment. Section 103 focuses on authorisation or exemption for public advertisements; section 107 focuses on fraudulent or reckless misrepresentations inducing investment. Keep their maximum fines and prison terms separate.
