Regulatory Framework 規管架構

Under the statutory framework for MPF intermediaries, the MPFA handles registration and disciplinary sanctions, while frontline regulators supervise and investigate. Candidates must understand the scope of regulated activities, registration and ongoing duties, and the rules on disciplinary procedures, appeals and public disclosure.

Prohibition against Carrying on Regulated Activities etc. 禁止進行受規管活動

Section 34L of the MPFSO prohibits carrying on regulated activities, holding oneself out as doing so, or using titles suggesting that entitlement, in the course of business or employment or for reward, unless an exception applies. Regulated activities include inviting, inducing or attempting to invite or induce someone to make a material decision, and giving regulated advice. Charging no separate fee does not remove advice given during employment from regulation.

Material decisions cover whether or when to join a particular MPF scheme or participate as an employer, and decisions about contributions, constituent fund investments, benefit transfers and claims for payment of accrued benefits, including the relevant timing and amounts. Contributions include voluntary contributions. Transfers include transfers between schemes, between constituent funds within a scheme, and from an occupational retirement scheme to an MPF scheme. An opinion on a material decision is regulated advice. Merely issuing an advertisement, invitation or document whose issue is authorised by the SFC under section 105 of the SFO is excluded from regulated activities.

Exceptions cover a principal intermediary acting in its business and an attached subsidiary intermediary acting as its employee, agent or representative. Other exceptions have specific limits: approved trustees, participating employers or service providers complying with the MPFSO; the MPFA performing its statutory functions; solicitors, counsel or certified public accountants giving advice wholly incidental to their practice; registered trust companies other than approved trustees giving advice wholly incidental to their duties; advice through generally available publications excluding subscription-only publications, or public television or radio broadcasts; and advice between a company and its wholly owned subsidiary, its wholly owning parent or another wholly owned subsidiary of that parent.

Without reasonable excuse or exemption, unlawful activity or holding out generally attracts, on indictment, HK$5 million and seven years’ imprisonment, plus HK$100,000 daily for a continuing offence; summary conviction attracts HK$500,000 and two years, plus HK$10,000 daily. For acting unlawfully as another person’s employee, agent or representative, the corresponding penalties are HK$1 million and two years, plus HK$20,000 daily, or HK$100,000 and six months, plus HK$2,000 daily. Unlawful use of relevant titles without reasonable excuse attracts HK$100,000, plus HK$2,000 daily for a continuing offence.

Registration Requirements for MPF Intermediaries 強積金中介人的註冊要求

A principal intermediary is a business entity registered with the MPFA and must be a Type A regulatee of an industry regulator. Eligible categories include companies authorised for long term insurance business, licensed long term insurance broker companies, authorised financial institutions registered for securities Type 1 or Type 4 activities, and corporations licensed for those activities. A subsidiary intermediary acts for a principal intermediary to which it is attached and must be a Type B regulatee without being any regulator’s Type A regulatee. Type B categories include eligible long term insurance individual agents, agencies and technical representatives, and appropriately qualified banking or securities personnel for Type 1 or Type 4 activities.

Both types face qualification-history checks: no disciplinary revocation of the relevant Type A or Type B qualification within the preceding year, no current suspension of that qualification, no MPFA disciplinary revocation of intermediary registration within the preceding year, and no applicable disqualification. Individual subsidiary applicants normally must have passed a specified qualifying examination within the preceding year: the VTC’s Mandatory Provident Fund Schemes Examination or the HKSI Institute’s MPF Intermediaries Examination. This examination requirement does not apply where the applicant was registered as a subsidiary intermediary within the preceding three years and that registration was revoked, provided the latest revocation was not for failure to meet continuing training requirements.

A subsidiary registration application must be accompanied by the principal intermediary’s application for approval of attachment. The principal must consent, the subsidiary must be its employee, agent or representative, and the subsidiary must be a Type B regulatee of the principal’s frontline regulator. A principal registration application must include applications for attachment and responsible officer approval. If the proposed responsible officer is not already a registered subsidiary intermediary, that person’s subsidiary registration application must also accompany the package.

A responsible officer must be an individual subsidiary intermediary attached to the principal, with sufficient authority, resources and support for the specified responsibilities. There must have been no MPFA disciplinary revocation of responsible officer approval within the preceding year and no applicable disqualification. The MPFA may impose conditions when granting registration or approval and afterwards, and may amend or revoke them. Relevant parties receive written notification, with reasons when conditions are imposed or amended. Registration status can be checked through the MPFA website, hotline 2918 0102 or office.

Regulatory Scope of Frontline Regulators 前線監督的規管範圍

The normal assignment order is the Monetary Authority, the Insurance Authority, then the SFC. The MA supervises all principal intermediaries that are its regulatees, including those also regulated in insurance or securities. The IA supervises the remaining principals that are its regulatees, including those also regulated in securities. The SFC supervises the remaining securities-only principals. Having qualifications in several sectors therefore does not give a principal a free choice of frontline regulator.

If the MPFA is satisfied that a principal conducts most of its business as another industry regulator’s regulatee, it may assign that regulator instead. A subsidiary intermediary, in respect of its attachment, and a responsible officer, in that capacity, have the same frontline regulator as the relevant principal.

Frontline regulators use the Guidelines on Conduct Requirements for Registered Intermediaries when supervising and investigating intermediaries, and pass relevant investigation information to the MPFA for disciplinary consideration. Conduct Requirements for Registered Intermediaries 註冊中介人的操守要求

When carrying on regulated activities, intermediaries must act honestly, fairly and with integrity, putting clients’ best interests first. They must apply the care, skill and diligence reasonably expected of a prudent practitioner. Advice must stay within their competence, and activities must be appropriate to the client’s particular circumstances.

Clients must receive enough information to make informed material decisions. Intermediaries must use best endeavours to avoid conflicts between their own interests and clients’ interests, and disclose a conflict if one arises. Disclosure does not replace the duty to try to avoid conflicts. Client assets must be promptly and properly accounted for, and other requirements prescribed by rules must also be met.

A principal must retain activity records sufficient for its frontline regulator to check compliance by both the principal and its attached subsidiaries. It must maintain proper controls and procedures, use best endeavours to secure subsidiaries’ observance, and give its responsible officer sufficient authority, resources and support. A purely nominal appointment is insufficient.

A responsible officer must use best endeavours to perform the specified responsibilities. The Guidelines on Conduct Requirements for Registered Intermediaries explain how to comply with statutory conduct duties; breaches can lead to disciplinary sanctions. Performance requirements used in supervision and discipline include the applicable statutory conduct duties and conditions imposed on registration, attachment approval or responsible officer approval.

Other Requirements for Registered Intermediaries 註冊中介人的其他要求

Relevant changes must be reported to the MPFA in writing within seven working days. Principals report cessation of regulated activities, address or contact changes, acquisition, cessation or suspension of Type A qualifications, and a responsible officer ceasing that role. Subsidiaries report name, address or contact changes, corresponding Type B qualification changes, and cessation as a responsible officer. Breach without reasonable excuse attracts HK$50,000. A principal intending to withdraw consent to a subsidiary’s attachment must also notify the MPFA.

Both principals and subsidiaries must pay annual fees within one month after the first day of each yearly chargeable period. Late payment attracts an additional fee of 10% of the unpaid annual fee. Unpaid annual or additional fees may lead to suspension. If payment remains outstanding 30 days after suspension takes effect, or after a longer period specified by the MPFA, registration may be revoked.

Both types must also submit annual returns within one month after the reporting period’s last day. This starting point differs from the annual fee deadline. Failure may lead to suspension, followed by revocation if the return remains undelivered 30 days after suspension takes effect, or after a longer period specified by the MPFA.

Continuing training requirements apply to individual subsidiary intermediaries. If specified training is not completed on time, the MPFA may issue a written notice requiring completion within 30 days or a longer period stated in the notice. Failure to comply may lead to suspension. If the notice remains unfulfilled 30 days after suspension takes effect, registration may be revoked. These are powers the MPFA may exercise, rather than automatic expiry rules.

Supervisory and Disciplinary Powers of MPFA and FRs 積金局及前線監督的監管及紀律制裁權力

A regulated person includes a registered intermediary and a principal’s responsible officer. Frontline regulators may check compliance by current or former regulated persons. Inspectors may enter business premises at reasonable times, inspect and copy business records, and make inquiries about records, transactions or activities. With reasonable cause to suspect non-compliance, a regulator may direct an investigation. Investigators may require documents and explanations, attendance to answer questions, written answers or assistance. Requirements can extend to other people holding relevant information.

Failure without reasonable excuse to meet inspection or investigation requirements attracts, on indictment, HK$200,000 and one year’s imprisonment; summary conviction attracts HK$50,000 and six months. Knowingly or recklessly supplying materially false or misleading information attracts HK$1 million and two years on indictment. Fraudulent non-compliance, fraudulent false or misleading submissions, or fraudulently causing or allowing a company’s corresponding conduct attracts HK$1 million and seven years on indictment. The latter two categories each attract HK$100,000 and six months on summary conviction.

The MPFA alone imposes disciplinary sanctions under this framework for breaches of performance requirements. It may revoke registration or responsible officer approval with disqualification for a specified period, or suspend registration or approval. It may also impose public or private reprimands and pecuniary penalties. The penalty ceiling is the greater of HK$10 million and three times the profit gained or loss avoided through the breach. Where an MPFSO or subsidiary-legislation conviction alone is the basis, the available disciplinary powers are the registration or responsible officer approval sanctions described here.

When the MPFA reaches a preliminary view that a disciplinary order or further action is appropriate, it must give written reasons, details of the proposed order, and information about the right and method of making representations. Oral or written representations must be allowed. The decision takes account of the frontline regulator’s investigation information and the person’s representations. Discipline for a performance breach does not require a prior criminal conviction.

Appeal Mechanism for Decisions on Registration and Disciplinary Sanctions 有關註冊及紀律制裁決定的上訴機制

The Mandatory Provident Fund Schemes Appeal Board independently handles appeals against specified MPFA registration and disciplinary decisions. An appeal must be submitted within two months after the date on which the MPFA gives written notice of its decision. The starting point is the written decision notice, rather than the breach or the start of an investigation.

The Appeal Board’s decision is final subject to section 39 of the MPFSO. The Board may refer a question of law arising in an appeal to the Court of Appeal for determination by case stated. The frontline regulator does not rehear the MPFA’s disciplinary decision.

Public Disclosure of Disciplinary Decisions Made against Registered Intermediaries 向公眾披露對註冊中介人作出的紀律制裁決定的

The MPFA may publish disciplinary decisions against registered intermediaries, the reasons and material case facts, except for private reprimands. In practice, disclosure is made through press releases.

The Register of Intermediaries must also contain records of disciplinary orders made against registered MPF intermediaries within the preceding five years. Distinguish press-release disclosure from the register requirement, and remember the disclosure exception for private reprimands.
