Legal Implications of Rebating of Commission 支付及收受回佣的法律後果

Rebating of commission reduces a customer's effective premium cost by returning part of an intermediary's commission, but its use as an improper inducement to obtain business may constitute bribery and corruption in certain circumstances. Candidates should distinguish the general principle against rebates, the recorded-rebate exception and the internal controls expected of the relevant firms.

Meaning and Effect of Rebating of Commission 回佣的意思與實際效果

Commission is remuneration received by an insurance intermediary. Rebating of commission occurs when the intermediary returns part of that remuneration to the customer, reducing the customer's effective cost of buying insurance.

The resulting 'cheaper' premium describes the customer's effective cost. An intermediary's rebate does not, by itself, establish that the insurer has recalculated or reduced the premium shown in the policy.

Improper Inducements and Legal Risks 不當利誘與法律風險

A commission rebate does not invariably involve bribery or corruption: the section recognises that the practice is harmless and understandable in most cases. However, using it as an improper inducement to obtain business raises serious concerns, even where the customer receives a financial benefit.

The legal consequences depend on the circumstances, and rebating may constitute bribery and corruption in certain cases. The section also identifies damage to the basis of premium rating and to arrangements for determining intermediaries' proper commission honestly. The General Principle and Recorded-Rebate Exception 一般原則與已記錄回贈的例外

The general principle in this section is that authorized insurers should not offer customers rebates of premiums or commissions when marketing and distributing insurance products. It covers both types of rebate, rather than only payments funded from an intermediary's commission.

Rebates recorded in the insurance contract fall within the exception. The record may appear in the insurance policy, policy schedule, quotation, offer letter or promotional material. The exception is therefore not confined to the main policy wording, and the rebate need not be repeated in every listed document. Internal Controls and Informed Customer Decisions 內部管控與客戶的知情決定

Authorized insurers, licensed insurance agencies and licensed insurance broker companies should all maintain robust internal procedures and controls to observe the principle. The expectation applies to insurers and both categories of licensed intermediary firm.

The purpose is to prevent rebates from distracting customers, allowing them to assess whether a product meets their insurance needs and make an informed decision. A price benefit should not replace consideration of the product's suitability.
